ASCD is governed by an 16-member Board of Directors, which meets three times a year and is chaired by the association's President.
Elections for ASCD offices are contested, and no campaigning is allowed. A balanced slate of diverse, qualified candidates is selected annually by the Nominations Committee, and those elected serve staggered terms.
Results of Member Vote on Proposed Changes to ASCD's Constitution
ASCD members recently voted to approve several changes to ASCD’s Constitution: clarification of a quorum for Board of Directors and for voting purposes at the Annual Meeting, a change in the start date for newly elected officers and members of the Board, and a change to the ASCD membership requirement for applicants for Board positions.
1. Article V: Board of Directors
The Board of Directors shall be composed of eight members (elected at large by the general membership) who shall each serve a term of four years; up to three members (appointed by the Board of Directors), who shall each serve a term of up to four years to ensure diversity; and the Executive Director. A simple majority of the members of the Board of Directors shall constitute a quorum of that body.

All applicants for positions on the Board of Directors shall hold membership in ASCD.

One hundred individual members of ASCD shall constitute a quorum for the purpose of voting at the annual meeting of members.
